Sourcing independent and experienced directors/shareholders is often required by clients who need an officer to be located in a specific jurisdiction, in order to comply with local rules. Or simply put, you might need some extra support from an experienced industry specialist to ensure you’re on top of local rules and regulations.  Directors/Shareholders introduced by OBI-C are fully equipped to provide solutions to keep you in compliance and in good legal standing.

 

The professional director service may be used where a client doesn’t wish to be personally appointed or has to meet local requirements. The name of the director will appear in the corporate documents, in any business contract and sometimes in the jurisdiction's business register.

Upon appointment of a professional director, a Professional Director Service Agreement will be signed between the client and the professional director. Among other terms, it will guarantee to the client that the professional director can only act or sign documents upon the client's request and with the client's prior approval.

Professional directors introduced by OBI-C are not employees of OBI-C, but third-party individuals who will conduct their own due diligence reviews before accepting an appointment on a company.

Professional Shareholder

The professional shareholder is appointed in order to detain shares on behalf of the owner of the company. The name of the shareholder will appear in the corporate documents, and sometimes in the jurisdiction's business register.

Upon appointment of a professional shareholder, a Professional Shareholder Service Agreement (declaration of trust) will be signed between the client and the professional shareholder.

Please note that professional shareholders introduced by OBI-C are not employees of OBI-C, but third-party individuals who will conduct independent due diligence reviews before accepting an appointment on a company.

Here are some of the tasks that a professional director/shareholder can fulfil :
  • Signing on company resolutions 

  • Review and approval of annual audited financial statements and related documents 

  • Providing regulatory and industry updates 

  • Responding to investor due diligence requests 

  • Preparing board packs and minutes 

  • Attending board meetings on your behalf 

  • Signing on any agreement/contract/MOU or any other legally binding document
